COOPERATION POLICY

At Macca Yên Tử, we are directly involved in the cultivation, procurement, processing, and business of macadamia nuts, utilizing various sales channels including wholesale, retail, online, and offline. Among these, distribution to distributors and agents takes precedence.

1/ LONG-TERM AND SUSTAINABLE DEVELOPMENT PRINCIPLES WITH AGENTS

We are committed to sharing profits, opportunities, business benefits, and engaging in long-lasting and sustainable partnerships with our Agents. We prioritize caring for and supporting Agents, while fostering collaborative support to enhance the vital relationship between Agents and Distributors or Manufacturers. We provide maximum protection to Agents against market fluctuations. We safeguard customers for Agents, ensuring fairness throughout the entire distribution network. We collaborate with Agents to expand markets and diversify their distribution channels.

Regular purchase discount:

Based on committed quarterly sales volumes, our Agents will be eligible for the purchase discount program based on sales volume, specifically tailored for Agents of the Distributor. Upon achieving the committed sales volume, our Agents will receive a discount as agreed upon at the beginning of the quarter. This discount policy operates independently and runs concurrently with other support or business promotion programs from the Manufacturer/Distributor for our Agents.

2/ PRICING POLICY, PRICE PROTECTION: Purchase Price:

Based on purchasing outcomes and other cooperative commitments, our Agents will enjoy the pricing policy designated for their respective agent levels. The pricing policy is designed to ensure competitiveness and maximize profits for our Agents in the market. In the event of Manufacturer/Distributor price reductions, our Agents are granted price protection for similar products, in the exact quantity and SKU of inventory on hand, verified within 30 days from the price reduction announcement. In the case of Manufacturer/Distributor price increases, our Agents will be informed at least 45 days but no more than 60 days in advance to adjust their procurement policies accordingly.

3/ PRINCIPLE CONTRACTS AND ACCOUNTS RECEIVABLE: Principle Contracts:

After both parties sign the Principle Contract, our Agents will be enrolled in the Distributor’s privileged list, gaining access to policies designated for Distributor Agents.

4/ SUPPORT POLICY: PR and Marketing Support:

Our Agents are supported with display samples, catalogs, flyers, banners, etc., in accordance with programs by the Distributor and Manufacturer. Information about our Agents will be promoted alongside the Distributor in public media and on the website of Macadamia Yên Tử Joint Stock Company. Our Agents participate in all promotional and sales-boosting programs by the Manufacturer/Distributor. Our Agents are kept updated on pricing, product information, policies, marketing initiatives, and sales promotional materials from the brand and Distributor, in addition to participating in periodic training in sales, marketing, and management skills. Technical and Solution Support:

Our Agents receive technical support through phone consultations and on-site technical assistance when needed. Cases exceeding our Agents’ capacity are escalated for support and resolution by the Manufacturer’s technical team. Our Agents are trained in the specifics of each product line.

5/ REQUIREMENTS FOR OUR AGENTS:

Our Agents self-manage their registered territories with the Distributor, proactively expanding customer bases and market development. Agents actively build strong sales networks, promoting their products through ethical practices, reflecting professionalism. Agents independently strategize business plans, customer development, and product accessibility in their registered territories or in new development areas under the protection of the Manufacturer/Distributor.

Agents support the Brand/Distributor during promotional and advertising campaigns at their business locations. Agents refrain from dealing with products of unclear origin. Exclusive Distributor Agents refrain from trading products similar to other brands if they hold exclusive distribution rights. The end-customer price ensures alignment with the recommended retail price of the Distributor. No undercutting of prices is allowed.
